Terms & Conditions

1. Scope of Agreement

These Terms & Conditions (“Agreement”) govern your participation in any training programs, courses, workshops, or events (collectively referred to as “Training”) offered by The Orange Force Consulting B.V. (hereafter: “The Orange Force”). By registering for or participating in any Training provided by The Orange Force, you agree to comply with and be bound by these terms.

2. Registration

2.1 B2B and B2C Model: The Orange Force offers Training to both Business-to-Business (B2B) and Business-to-Consumer (B2C) clients. The terms outlined in this Agreement apply to all registrants, irrespective of whether they are registering as individuals or on behalf of a business entity.

2.2 Accuracy of Information: You agree to provide accurate and complete information during the registration process. The Orange Force reserves the right to refuse or cancel registrations if the provided information is found to be inaccurate, incomplete, or misleading.

2.3 Subsidiaries: For the purposes of this Agreement, references to “The Orange Force” shall include its subsidiaries. Any Training provided by subsidiaries of The Orange Force shall be governed by these Terms & Conditions.

2.4 Non-transferable: Registrations for Training events by The Orange Force are not transferable to other persons or other training events.

2.5 Prices: All prices are displayed as excluding taxes, unless stated otherwise.

The Orange Force reserves the right to allow for exceptions.

3. Cancellation and Refunds

3.1 Cancellation by Attendee: If you are unable to attend a Training event you registered for, The Orange Force is not obliged to provide an alternative Training event or transfer your registration to another scheduled Training event.

3.2 Refunds: The Orange Force does not offer refunds for cancellations or no-shows. All registration fees are non-refundable.

3.3 Cancellation by The Orange Force: The Orange Force reserves the right to cancel or reschedule Training events due to unforeseen circumstances, including but not limited to insufficient registrations, instructor unavailability, or force majeure events. In such cases, registrants will be notified promptly, and alternative arrangements may be offered at the discretion of The Orange Force.

3.4 Exceptions: The Orange Force reserves the right to allow for exceptions.

4. Performance of Training

The Orange Force will make reasonable commercial efforts to ensure that the Training is carried out with reasonable skill and care, following industry-standard practices. Any conditions and warranties that are not explicitly stated in these Training Terms, whether expressed or implied, including, but not limited to, the fitness for a particular purpose, are excluded to the fullest extent permitted by law.

5. Misconduct

In the event of misconduct (such as repeated disruption of the Trainer and/or unprofessional conduct), The Orange Force or its representative has the right to remove you from the Training and prohibit you from further participation.

6. Intellectual Property

6.1 Ownership: All intellectual property rights related to the Training materials, including but not limited to course content, presentations, handouts, and exercises, are owned by The Orange Force or its licensors.

6.2 Use of Materials: Training materials provided by The Orange Force are for personal or internal business use only and may not be reproduced, distributed, or shared without prior written consent from The Orange Force.

7. Limitation of Liability

To the extent permitted by law, The Orange Force shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in any Training, including but not limited to lost profits, loss of data, or business interruption.

8. Indemnification

You (and your organization) agree to indemnify and hold harmless The Orange Force, its officers, directors, agents, and employees, from and against any claims, actions, demands, losses, costs, expenses (including, but not limited to, legal fees and disbursements), damages, liabilities, and lawsuits arising from any breach of your (or your organization’s) obligations under these Terms and Conditions.

9. Governing Law

This Agreement shall be governed by and construed in accordance with Dutch law.

10. Amendments

The Orange Force reserves the right to modify, amend, or update these Terms & Conditions at any time without prior notice. Changes will be effective upon posting on The Orange Force’s website or other official communication channels.
